Terms & Conditions
The terms you are agreeing to when you engage us. Written plainly, because terms you cannot understand protect nobody.
1. Who you are contracting with
White Cloud is a trading name of GROOV Creator Limited, a company registered in New Zealand and based in Christchurch (NZBN 9429049024326). When you engage White Cloud, your contract and your invoices are with GROOV Creator Limited. In these terms, “we” and “us” mean that company, and “you” means the client.
These terms apply from the moment you accept a quote or pay a deposit or invoice.
2. What we provide
We provide the work described in your chosen package or quote — a website package (Cloud One, Cloud Plus or Cloud Pro), a care plan, marketing services, or work quoted separately. The deliverables, timeline and number of revision rounds are those published on this site or set out in your quote at the time you accept it.
We may decline a project. If we do, anything you have already paid is refunded in full.
3. Prices and GST
- All prices are in New Zealand dollars and exclude GST, which is added at the current rate of 15%.
- Website packages: Cloud One NZ$299 + GST, Cloud Plus NZ$699 + GST, Cloud Pro NZ$1,099 + GST.
- Care plans: Basic NZ$49 + GST per month, Full NZ$99 + GST per month.
- Marketing services are priced on the marketing page and also exclude GST.
Some costs are never ours to charge you and are paid by you directly to the provider: domain registration, website hosting, advertising spend paid to Google or Meta, and email platform fees. We will tell you what these are likely to cost before you commit to anything.
4. Payment
- Jobs under NZ$499 + GST: payable in full before work starts.
- Jobs of NZ$499 + GST or more: a 50% deposit before work starts, with the balance due when the completed site is delivered for your review.
- Care plans and monthly marketing management: billed monthly in advance.
We accept bank transfer. Work begins once payment or the deposit has cleared. Your website goes live once the balance is paid.
5. Revisions
Each package includes the number of revision rounds published for it. A round means one consolidated set of changes from you, not a change at a time. We will not publish your site until you are genuinely happy with it — but changes beyond the included rounds, or changes that alter what was agreed at the start, may be quoted separately before we do them.
6. What we need from you
Timelines assume you can give us what we need to do the work:
- Your completed intake form.
- Copy, photos, logos and brand material, or a clear go-ahead for us to write and source them.
- Feedback consolidated into one response per round.
- Confirmation that you own, or have permission to use, everything you send us.
Delivery estimates are from when we have what we need, not from when you pay. If material or feedback is slow, the timeline moves — we will tell you when that happens rather than quietly missing a date.
7. Who owns the finished work
Once you have paid in full, you own your website — the design, the pages and the content created for you. It is yours to keep, move to another host, or hand to another developer.
Third-party components stay under their own licences: stock photography, typefaces, and any plugins or services. Where something carries an ongoing licence cost, we will say so before it goes anywhere near your site.
We may show the finished work in our portfolio and marketing unless you ask us in writing not to. Ask and we will take it down.
8. Hosting and domains
Hosting and domain registration are not included unless your quote says so. We will recommend providers and help you set them up, but the accounts are yours, in your name, and the ongoing cost is yours. We would rather you owned them than be tied to us for something you can control yourself.
9. Care plans
Care plans run month to month with no lock-in. Either of us can cancel with 30 days’ notice. We do not refund part-months. Cancelling a care plan does not affect your ownership of your site.
10. Marketing services
Ad management starts with a three-month minimum where the setup fee has been waived under our launch offer, and continues month to month after that. Ad spend is set by you, paid by you directly to the platform, and is not part of our fee.
We do not guarantee particular results from advertising or SEO. Anyone who does is guessing. What we do guarantee is that the work is done properly and reported honestly each month.
11. Cancellation
If you cancel after work has started, the deposit is not refunded, because the time is already spent. If we have gone well beyond the deposit, we may invoice fairly for the work completed to that point, and we will show you what that covers.
If we cancel — which we would only do if we could not do the job properly — you get a full refund of anything not yet worked.
12. Liability
Our total liability for any claim is limited to what you have paid us for the service the claim relates to. We are not liable for indirect or consequential loss, such as lost profit or lost business.
We do not guarantee particular search rankings, traffic or sales. A website is a tool, and how it performs depends on things outside our control.
Nothing in these terms limits rights you have under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986 where those Acts apply to you. If you are acquiring our services for business purposes, you agree the Consumer Guarantees Act does not apply.
13. Governing law
These terms are governed by New Zealand law, and the New Zealand courts have jurisdiction over any dispute. Before anyone gets that far, talk to us — most things are fixable with a phone call.
